Parties.
This Shareholders’ Agreement is made between Vrishtal Kanoverra Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Unit 14, Kanoverra Chambers, Vrishtal Marg, Pune 411045 (the “Company”); Ravelika Dhonsarkar of Flat 2A, Dhonsar Residency, Ilvara Lane, Mumbai 400058 and Anvesh Kurtavalli of House 7, Kurtaval Enclave, Bengaluru 560034 (the “Founders”); and Marvanth Ishovar Capital, a partnership firm with its office at Office 11, Ishovar Arcade, Marvanth Road, Kochi 682011 (the “Investor”). This agreement is governed by Indian law.

Indemnity.
The Founders shall indemnify Marvanth Ishovar Capital against losses arising out of a breach of the warranties, without limitation as to amount.
Comments: The indemnity has no monetary cap and survives without a time limit.
