Online Distribution.
POLY agrees to allow QBEC to make available QBEC's Products on POLY's Platform, subject to the terms of this Agreement, throughout the world. When a Buyer places an order on POLY's Platform for QBEC's Products, POLY will process the order through the Platform, collect payment from the Buyer, handle shipment of the Products from POLY's warehouse to the Buyer, and remit payment to QBEC on the terms set forth in Section 3 below.
Comments:Some of our products may be banned in some of Countries.If by an error these products are exported to such Countries since they are under QBEC Brand & packing we may be in trouble & to face the consequences.
Non-Exclusive.
This agreement is non-exclusive as to both POLY and QBEC. QBEC may continue to market and sell its Products through means other than this Agreement, and POLY may work with third parties who also sell Products.
Shipment and Storage of Ingredients.
To ensure that Products are delivered promptly, QBEC must deliver its Products to POLY before POLY can make QBEC's Products available for purchase, whether offline or online. QBEC shall deliver its Products, in the quantity and on the terms set forth in the applicable PDA, to one of POLY's warehouses (each, a "Warehouse"). QBEC shall have no obligation to ship any Products, and POLY shall have no obligation to receive any Products, unless and until the parties execute a written PDA. POLY shall coordinate the shipment of QBEC's Products to POLY's Warehouse, subject to QBEC's obligation to pay for the costs of shipping as set forth in Section 3 below and the applicable PDA. QBEC shall remain the owner of the Products and shall be solely responsible for insuring its Products while in POLY's possession, custody or control. To the maximum extent permitted by law, POLY makes no representations or warranties with respect to its storage or possession of QBEC's Products.
